1. Acceptance of Terms

Welcome to BizNuma ("Platform", "Service", "we", "us", or "our"). By accessing or using BizNuma, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms constitute a legally binding agreement between you and BizNuma. We reserve the right to modify these Terms at any time. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

2. Service Description

BizNuma is a connection-based B2B inventory platform that enables businesses to:

Create business profiles with unique usernames (@username)
Connect with other businesses via username
Share product catalogs and inventory information
Manage pricing and access controls per connection
Receive and manage orders from connected business partners

Important: BizNuma is a platform that facilitates connections and information sharing between businesses. We do not:

Process payments for products or services
Handle financial transactions between users
Act as a party to any business transaction
Guarantee the fulfillment of orders
Verify the quality or legality of products listed

3. User Eligibility & Account Registration

3.1 Eligibility

To use BizNuma, you must:

Be at least 18 years of age
Represent a legitimate business entity or operate as a sole proprietor
Have the legal authority to bind your business to these Terms
Not be located in a jurisdiction where the Service is prohibited
Not have been previously banned or suspended from the Platform

3.2 Account Registration

You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security and confidentiality of your account credentials
Notify us immediately of any unauthorized access or security breach
Be responsible for all activities that occur under your account

3.3 Username Policy & Trademark Protection

General Username Requirements:

Usernames must be unique and available at registration
Must not contain offensive, vulgar, or inappropriate language
Must not include contact information (phone numbers, email addresses, URLs)
Must not contain only numbers or random characters
Must be between 3-30 characters (letters, numbers, underscores only)

🚫 TRADEMARK & BRAND IMPERSONATION PROHIBITED:

You may NOT register usernames that:

Impersonate Famous Brands: Samsung, Apple, Nike, Adidas, Sony, Microsoft, Amazon, Google, etc.
Use Registered Trademarks: Any business name, brand, or logo protected by trademark without authorization
Create Confusion: Usernames that could mislead users into thinking you represent a well-known brand
Variations of Trademarks: Misspellings, adding numbers/characters (e.g., @nike123, @apple_official, @samsung2024)
Celebrity/Public Figure Names: Names of famous individuals or public figures
Competitor Impersonation: Usernames designed to impersonate or defame competitors

Legitimate Brand Owner Rights:

If you are the legitimate owner or authorized representative of a registered trademark/brand, you must:

Submit verification documents (trademark registration certificate, business license, authorization letter)
Provide proof of authorization to use the brand name on the Platform
Use an official company email domain for verification
Complete our brand verification process before claiming a trademarked username

Username Reclamation & Disputes:

BizNuma reserves the right to reclaim, suspend, or reassign any username at any time
Usernames violating trademark rights will be immediately suspended
Legitimate trademark owners can file a claim to reclaim their brand username
We may transfer usernames to verified trademark owners without notice
Inactive accounts (no login for 12+ months) may have usernames reclaimed
Username disputes will be resolved based on trademark registration dates and proof of ownership

⚠️ Consequences of Trademark Violation:

Immediate account suspension
Permanent ban from the Platform
Legal action by trademark owners (you may be held liable)
Loss of all account data and connections
Reporting to relevant authorities if fraudulent intent

💡 Authorized Resellers & Distributors:

If you are an authorized distributor/reseller of branded products:

Use your OWN business name as username (e.g., @yourshopname)
Do NOT use the brand name you distribute
Clearly state in your profile: "Authorized Reseller of [Brand]"
Provide authorization certificate from the brand if requested
You can list branded products but not impersonate them

4. User Responsibilities & Conduct

4.1 Prohibited Activities

You agree NOT to:

List illegal, counterfeit, stolen, or prohibited products
Engage in fraudulent, deceptive, or misleading practices
Violate any applicable laws, regulations, or third-party rights
Harass, threaten, or abuse other users or our staff
Scrape, data mine, or use automated tools without permission
Attempt to gain unauthorized access to the Platform or other accounts
Upload viruses, malware, or malicious code
Interfere with or disrupt the Platform's functionality
Use the Platform for any purpose other than B2B business operations
Sell, rent, or transfer your account to another party

4.2 Prohibited & Restricted Products

To comply with applicable laws and regulations, the following products and services are strictly prohibited on BizNuma:

❌ PROHIBITED PRODUCTS (Cannot be listed under any circumstances):

Illegal Drugs & Controlled Substances: Narcotics, psychotropic substances, marijuana, prescription drugs without proper licensing
Weapons & Ammunition: Firearms, explosives, ammunition, weapon accessories, military equipment
Tobacco Products: Cigarettes, cigars, e-cigarettes, vaping products, tobacco in any form
Alcohol & Liquor: Beer, wine, spirits, alcoholic beverages of any kind
Adult Content: Pornographic materials, adult toys, escort services
Counterfeit & Pirated Goods: Fake branded products, pirated software, unauthorized replicas
Stolen Property: Goods obtained illegally or without proper ownership
Human Parts & Remains: Organs, blood, bodily fluids, human remains
Endangered Species: Products made from endangered animals, ivory, protected wildlife
Hazardous Materials: Toxic chemicals, radioactive materials, biohazards without proper licensing
Gambling & Lottery: Lottery tickets, gambling services, casino chips
Financial Instruments: Currency, securities, bonds, fake money
Hacking Tools: Software/hardware designed for unauthorized access or illegal activities
Government IDs & Documents: Passports, licenses, official certificates, stamps
Recalled Products: Items subject to government or manufacturer recalls

⚠️ RESTRICTED PRODUCTS (Require proper licenses, permits, or compliance):

Pharmaceuticals & Medical Devices: Require valid drug licenses, medical device registration, and compliance with health authority regulations
Food & Beverages: Require FSSAI license or equivalent food safety certification
Supplements & Nutraceuticals: Must comply with health authority approvals and labeling requirements
Cosmetics & Personal Care: Must comply with cosmetic regulations and safety standards
Chemicals & Pesticides: Require proper handling licenses and compliance with environmental regulations
Electronics & Electrical Equipment: Must have BIS certification or equivalent safety standards
Toys & Children's Products: Must meet safety standards and age-appropriate certifications
Automotive Parts: Must comply with vehicle safety and emission standards
Precious Metals & Jewelry: Must comply with hallmarking and purity regulations
Seeds & Plants: May require agricultural permits and phytosanitary certificates
Live Animals & Pets: Require proper breeding licenses, health certificates, and compliance with animal welfare laws
Medical Services: Healthcare providers must have valid medical licenses and registration

✅ ALLOWED PRODUCTS (Generally permitted with proper business documentation):

General Merchandise: Clothing, footwear, bags, accessories, home goods
Office Supplies: Stationery, paper products, office equipment, furniture
Industrial Supplies: Raw materials, machinery parts, tools, equipment
Textiles & Fabrics: Cloth, yarn, garments, fabrics
Construction Materials: Cement, steel, tiles, hardware
Packaged Foods (with FSSAI): Snacks, beverages, packaged goods
Books & Educational Materials: Books, notebooks, learning materials
Sports & Fitness Equipment: Gym equipment, sports gear
Pet Supplies: Pet food, accessories, toys (non-live)
Arts & Crafts: Craft supplies, art materials, hobby items
Automotive Accessories: Car care products, accessories
Agricultural Products: Fertilizers, farming equipment (with permits)

4.3 Compliance & Verification

Your Responsibility: You are solely responsible for ensuring that:

All products you list comply with applicable local, state, and national laws
You possess all necessary licenses, permits, and certifications
Your products meet all safety, quality, and labeling requirements
You have the legal right to sell the products you list
Your business transactions comply with tax and regulatory requirements

BizNuma's Rights: We reserve the right to:

Remove any product listings that violate these policies
Request documentation proving compliance for restricted products
Suspend or terminate accounts that list prohibited items
Report illegal activities to appropriate authorities
Update this list at any time based on legal requirements

📋 Documentation Requirements:

For restricted products, you may be required to provide:

Valid business registration/GST certificate
Product-specific licenses (FSSAI, Drug License, etc.)
Quality certificates and test reports
Import/export permits (if applicable)
Manufacturer authorization letters
Safety compliance certificates

4.4 Content Guidelines

When posting product listings or other content, you must:

Ensure all information is accurate and up-to-date
Own or have rights to all content you upload
Not infringe on any intellectual property rights
Not include false, misleading, or deceptive information
Comply with all applicable product listing regulations
Include proper warnings and safety information where required
List products in appropriate categories

4.5 Business Transactions

You acknowledge that all transactions (pricing, payment terms, delivery, returns, warranties) are solely between you and your connected business partners. BizNuma is not a party to these transactions and has no control over the quality, safety, legality, or delivery of products; the truth or accuracy of listings; or the ability of users to complete transactions.

5. Payment Terms & Subscription Plans

5.1 Free Plan

BizNuma offers a free plan with basic features. The free plan is provided "as-is" and may have limitations on usage, features, or capacity. We reserve the right to modify or discontinue the free plan at any time with reasonable notice.

5.2 Paid Subscription Plans (If Applicable)

If you choose a paid subscription plan:

Fees are charged in advance on a recurring basis (monthly or annually)
All fees are non-refundable except as required by law
You authorize us to charge your payment method on each renewal date
Subscription automatically renews unless canceled before the renewal date
We may change pricing with 30 days advance notice
You can cancel your subscription at any time

5.3 No Transaction Fees

BizNuma does not charge transaction fees, commissions, or take a percentage of sales between connected businesses. All payment processing for products and services occurs directly between users outside of our Platform. We are not responsible for any payment disputes, chargebacks, or financial issues related to business transactions.

6. Intellectual Property Rights

6.1 Platform Ownership

All rights, title, and interest in the BizNuma Platform (including software, designs, text, graphics, logos, APIs, and documentation) are owned by BizNuma or our licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended business purposes.

6.2 User Content License

By posting content (product listings, images, descriptions, business information) on the Platform, you grant BizNuma a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute your content solely for the purpose of operating and providing the Service. You retain all ownership rights to your content.

6.3 Copyright Infringement

We respect intellectual property rights. If you believe your copyright has been infringed, please contact us with: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good faith belief, and (5) a statement of accuracy under penalty of perjury.

6.4 Trademark Infringement & Counterfeit Products

BizNuma has a zero-tolerance policy for trademark infringement and counterfeit products. We actively work to protect the rights of trademark owners and brand holders.

Prohibited Actions:

Listing counterfeit, replica, or fake branded products
Using brand names, logos, or trademarks without authorization
Creating listings that suggest affiliation with a brand when none exists
Selling "inspired by" or "similar to" products that infringe trademarks
Using trademarked terms in product titles to mislead buyers

🚨 How to Report Trademark Infringement:

If you are a trademark owner or authorized representative and believe your trademark is being infringed on BizNuma, please submit a report with:

Your contact information: Name, email, phone number
Trademark registration details: Registration number, jurisdiction, registration certificate
Proof of ownership: Documentation proving you own or represent the trademark
Infringing content: Username, product listing URL, or business profile link
Description of infringement: How the content infringes your trademark
Good faith statement: "I have a good faith belief that the use of the trademark is not authorized by the trademark owner, its agent, or the law"
Accuracy statement: "The information in this notice is accurate, and under penalty of perjury, I am authorized to act on behalf of the trademark owner"

Our Response Process:

We will review your claim within 3-5 business days
Valid claims will result in immediate removal of infringing content
Repeat offenders will have their accounts permanently suspended
We may share your information with the accused party for counter-notification
Verified trademark owners may be fast-tracked through our brand protection program

6.5 Authorized Reseller Guidelines

If you are an authorized distributor or reseller of branded products:

✅ DO's for Authorized Resellers:

Use your own business name as your username (not the brand name)
Clearly state in your profile: "Authorized Distributor of [Brand Name]"
List authentic products with accurate brand names and descriptions
Upload your authorization certificate or distributor agreement if requested
Use phrases like "Genuine [Brand]" or "Official [Brand] Products"
Provide proper invoices and purchase receipts

❌ DON'Ts for Resellers:

Do NOT use the brand's trademark as your username (e.g., @nike, @samsung)
Do NOT claim to be the official brand or manufacturer
Do NOT use the brand's logos without permission
Do NOT suggest direct affiliation or partnership unless documented
Do NOT sell products you cannot prove are authentic

6.6 Counter-Notification Process

If your content or username was removed due to a trademark claim and you believe the removal was in error, you may submit a counter-notification including:

Your contact information and account details
Description of the removed content and its previous location
Statement under penalty of perjury that you have a good faith belief the content was removed by mistake
Evidence supporting your claim (authorization letters, licenses, trademark rights)
Consent to jurisdiction for legal proceedings
Electronic signature

Upon receiving a valid counter-notification, we may restore the content within 10-14 business days unless the trademark owner files a legal action.

7. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using BizNuma, you consent to our data practices as described in the Privacy Policy.

You are responsible for complying with all applicable data protection and privacy laws when using the Platform, including obtaining necessary consents from your customers and employees.

8. Disclaimers & Limitations

8.1 Service Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Platform will:

Be uninterrupted, secure, or error-free
Meet your specific business requirements
Be available at all times
Be free from bugs, viruses, or harmful components
Result in any specific business outcomes or sales

8.2 User Verification

We do not verify the identity, creditworthiness, or legitimacy of users. You are responsible for conducting your own due diligence before engaging in business transactions with other users.

8.3 Third-Party Content

The Platform may contain links to third-party websites or services. We are not responsible for the content, accuracy, privacy practices, or availability of third-party sites. Your use of third-party services is at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZNUMA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, goodwill, or business opportunities
Damages resulting from business transactions between users
Unauthorized access to or alteration of your data or content
Statements or conduct of any third party on the Platform
Any matters beyond our reasonable control

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless BizNuma and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your content or product listings; (e) your business transactions with other users; or (f) your violation of any applicable laws or regulations.

11. Termination & Suspension

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, you will no longer have access to the Platform, and your data will be deleted according to our data retention policies.

11.2 Termination by BizNuma

We reserve the right to suspend or terminate your account immediately, without notice, if:

You violate these Terms
We suspect fraudulent or illegal activity
You engage in prohibited conduct
Required by law or court order
We decide to discontinue the Service

11.3 Effect of Termination

Upon termination: (a) your right to use the Platform immediately ceases; (b) we may delete your account and data; (c) you remain liable for any outstanding obligations; (d) sections of these Terms that by their nature should survive (including limitations of liability, indemnification, and dispute resolution) will continue to apply.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a legal claim, you agree to attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute through good faith negotiations.

12.2 Governing Law

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

13.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemics, or government actions.
